TERMS OF USE

1. Acceptance of Terms

These Terms of Use, along with our other policies (including the Cancellation & Refund Policy, Privacy Policy, and Take Down Policy), govern your use of the yquidy website ((link unavailable)) and mobile application (the "App"). Collectively, the website and App are referred to as the "Platform." Please read these Terms of Use carefully before using the Platform's services. If you do not agree to these Terms of Use, you may not use the services and are requested to uninstall the App.

2. Contracting Party

By installing, downloading, or using the Platform, you enter into a legally binding arrangement with yquidy.co, a company incorporated under Indian law, with its registered office at 102 Shivam Tower, G.M.S. Road, Dehradun 248001, India.

3. Definitions

• "You," "User," or "User" refers to any natural or legal person who transacts on the Platform by providing registration data during registration.

• "yquidy," "we," "us," or "our" refers to yquidy.co.

4. Platform Services

yquidy enables transactions between participating merchants and buyers on its Platform, offering:

• Prepared food and beverages

• Consumer goods

• Other products and services ("Platform Services")

Buyers can place orders ("Orders") from listed products and services offered by merchants, including restaurants, eateries, and retail outlets ("Merchants"). Buyers can also place Orders for undertaking certain tasks on the Platform ("Tasks").

5. Delivery Services

yquidy connects third-party service providers (pick-up and delivery partners, "PDPs") to provide:

• Delivery of Orders

• Completion of Tasks

at select localities of serviceable cities across India ("Delivery Services"). yquidy acts as an intermediary between Merchants and Buyers and/or PDPs and Buyers/Merchants.

6. PDPs

PDPs are individual entrepreneurs engaged with yquidy on a voluntary, non-exclusive, and principal-to-principal basis to provide pickup and delivery services and complete Tasks. PDPs are independent contractors, free to determine their work timings. yquidy does not exercise control over PDPs, and their relationship with yquidy is not that of an agent and principal or employee and employer.

7. Service Fee

For pickup and delivery services and completing Tasks, PDPs may charge users (Buyers or Merchants) a service fee (inclusive of applicable taxes) determined by factors such as:

• Distance covered

• Time taken

• Demand for Delivery Services/Tasks

• Real-time analysis of traffic and weather conditions

• Seasonal peaks

• Other parameters as may be determined from time to time

ACCOUNT REGISTRATION AND ELIGIBILITY

2.1 Access to the Platform

You may access the Platform by:

• Registering to create an account ("yquidy Account") and becoming a member ("Membership")

• Registering to join by logging into your account with certain third-party social networking sites ("SNS") via our Platform

2.2 Third Party Accounts

By linking your yquidy Account with Third Party Accounts, you:

• Represent that you are entitled to disclose your Third Party Account login information to us

• Grant us access to your Third Party Account, as permitted under the applicable terms and conditions

2.3 Eligibility

Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not eligible to use the Platform. Only individuals who are 18 years of age or older may use the Platform and avail of the Services.

2.4 Confidentiality

You are responsible for treating your user identification code, password, and any other piece of information that we may provide as confidential and not disclosing the same to any person or entity other than us.

2.5 Account Suspension

We reserve the right to suspend or terminate your yquidy Account and access to the Services if:

• Any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete

• Your actions may cause legal liability for you, other users, or us

• You are found to be non-compliant with the Terms of Use or other yquidy policies

AMENDMENTS

These Terms of Use are subject to modifications. We reserve the right to modify or change these Terms of Use and other yquidy policies at any time by posting modified documents on the Platform. Your continued use of the Platform and the Services after any change is posted constitutes your acceptance of the amended Terms of Use and other yquidy policies.

GENERAL TERMS

• Goods and services purchased from the Platform are intended for your personal use, and you represent that the same are not for resale or you are not acting as an agent for other parties.

• You agree to provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.

• We reserve the right to suspend/cancel or discontinue any or all products or services at any time without notice, make modifications and alterations in any or all of its contents, products, and services contained on the site without any prior notice.

USE OF PLATFORM AND SERVICES

4.1 Commercial Terms

All commercial/contractual terms are offered by and agreed to between Buyers and Merchants alone, with respect to products and services being offered by the Merchants. yquidy does not have any control or involvement in the offering or acceptance of such commercial/contractual terms.

4.2 Support Services

yquidy may offer support services to Merchants and PDPs in respect of Order fulfillment, mode of payment, payment collection, call center support, and other ancillary services, pursuant to independent contracts executed between yquidy and the Merchants/PDPs.

4.3 Representations and Warranties

yquidy makes no representations or warranties as to the item-specifics of any Merchant or the specifics of the products or services proposed to be sold or offered to be sold or purchased on the Platform.

4.4 Obligations

yquidy is only operating an online marketplace and assumes the role of facilitator. yquidy is not responsible for any unsatisfactory or non-performance of services or breach of any contract entered into between the Buyers and Merchants, and between the Merchants/Buyers and PDP on the Platform.

OBLIGATIONS PERTAINING TO USAGE OF PLATFORM

5.1 User Representations and Warranties

By using the Platform, you represent and warrant that:

• All registration information you submit is truthful, lawful, and accurate.

• Your use of the Platform shall be solely for your personal use.

• You will not use the Platform for commercial purposes of any kind.

• You will not post, submit, upload, distribute, or otherwise transmit or make available any content that is unlawful, harmful, or infringes on the rights of others.

5.2 Prohibited Activities

You will not:

• Engage in any form of antisocial, disrupting, or destructive acts.

• Discriminate against any Merchants, Buyers, or PDPs based on race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other metric deemed unlawful under applicable laws.

• Delete or modify any content of the Platform without permission.

• Host, display, upload, download, modify, publish, transmit, update, or share any information that is unlawful, harmful, or infringes on the rights of others.

PROHIBITED ACTIVITIES

You agree not to engage in any of the following activities:

• Soliciting gambling or engaging in any gambling activity that is illegal

• Interfering with another user's use and enjoyment of the Platform

• Posting or transmitting content that is unlawful, harmful, or infringes on the rights of others

• Harassing minors

• Infringing on intellectual property rights or trade secrets

• Violating any law or regulation

• Deceiving or misleading others

• Impersonating another person

• Containing software viruses or other harmful code

• Threatening national security or public order

• Making false or misleading statements

• Engaging in unauthorized access or hacking

• Probing, scanning, or testing the vulnerability of the Platform

• Reverse engineering or attempting to trace any information

• Making negative or denigrating statements about yquidy

• Imposing an unreasonable load on the Platform's infrastructure

• Forging headers or manipulating identifiers

• Pretending to represent someone else

• Using the Platform for unlawful purposes

USER RESPONSIBILITIES

You agree to:

• Comply with all applicable laws and regulations

• Grant yquidy a non-exclusive license to use your information

• Not engage in advertising or solicitation without yquidy's consent

• Not disclose personal information without consent

• Be responsible for your content and actions on the Platform

LIMITATION OF LIABILITY

yquidy shall not be responsible for:

• Services or goods provided by Merchants

• Unavailability or incorrect Orders

• Product liability

• Changes or cancellations of menu items or prices

INDEMNIFICATION

You agree to indemnify yquidy against any claims, damages, or losses resulting from your use of the Platform.

DELIVERY AND PAYMENT TERMS

Delivery

• yquidy is not responsible for delivery services provided by PDPs.

• Delivery times are approximate estimates and may vary.

• Buyers shall provide adequate directions and information for delivery.

• Risk and responsibility pass to the Buyer upon delivery.

Payment

• All payments shall be made in Indian Rupees.

• Payment methods include credit/debit card, net banking, or cash on delivery.

• yquidy acts as a payment agent for Merchants and PDPs.

• Buyers shall not make direct payments to Merchants or PDPs.

• Delivery Surge charges may apply, determined by various factors.

Order Booking and Financial Terms

• Orders are treated as confirmed upon successful booking.

• yquidy may contact Buyers to confirm Order details.

• Changes to Orders shall be treated as final.

• Payments shall be made for the total amount of the Order.

• yquidy collects payments on behalf of Merchants and PDPs.

• Buyers authorize the collection of payments by charging their credit card.

• Taxes and levies shall be determined and charged by Merchants and PDPs.

• Prices reflected on the Platform are determined solely by Merchants.

Maintenance and Improvement

• yquidy may perform maintenance to continually improve and provide a seamless experience.
